1. Acceptance of Terms

Welcome to the website of Tier One Capital LLC ("Tier One Capital," "we," "us," or "our"). By accessing or using our website at tierone-capital.com (the "Site"), you agree to be bound by these Terms & Conditions (the "Terms"). If you do not agree to these Terms, please do not use the Site.

Tier One Capital LLC is a real estate investment company based in Arlington, Virginia. We purchase properties for cash, offer creative financing solutions, and operate short-term rental properties.

2. Use of Website

You may use this Site for lawful purposes related to learning about our services, viewing property information, submitting inquiries, browsing our rental listings, messaging us about a property or stay, and booking a stay. You agree not to:

• Use the Site in any way that violates applicable federal, state, or local laws or regulations.
• Attempt to gain unauthorized access to any portion of the Site, its servers, or any systems or networks connected to the Site.
• Use any automated system, including bots, scrapers, or data mining tools, to access the Site for any purpose without our express written permission.
• Transmit any material that contains viruses, trojan horses, worms, or other harmful or disruptive components.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the operation of the Site or the servers and networks used to make the Site available.
• Use our messaging or contact features to send unlawful, harassing, abusive, fraudulent, infringing, or spam content, or to transmit anyone else's personal information without their permission.

3. Property Listings & Information

All property listings, descriptions, photographs, and related information displayed on the Site are provided for general informational purposes only. They do not constitute binding offers, commitments, or guarantees by Tier One Capital.

Property details, availability, pricing, and other information are subject to change at any time without notice. While we make reasonable efforts to ensure accuracy, we do not warrant that any listing information is complete, current, or error-free. You should independently verify any information before making decisions based on it.

Guest reviews and testimonials shown on the Site originate from guests who stayed at our properties, including reviews collected through third-party booking platforms. They reflect the views of individual guests, are provided for informational purposes, and are not a guarantee of any particular experience.

4. Rental Bookings & Payments

Tier One Capital operates short-term rental properties that can be booked directly through this Site, as well as through third-party platforms such as Airbnb and Vrbo. The terms below apply to bookings made directly through this Site. Bookings made through a third-party platform are governed by that platform's terms, conditions, and policies.

Booking requests and confirmation. When you submit a booking through the Site, you are making a request to reserve the property for the dates selected. Your payment card is authorized but not charged at the time of request. A reservation becomes a binding agreement only when we confirm it and capture payment. If we are unable to confirm your requested dates, the authorization is released and you are not charged.

Payment processing. Payments are processed by Stripe. By booking, you agree to Stripe's terms and authorize the total displayed at checkout, which may include the nightly rate, cleaning fee, service fee, and, where applicable, a pet fee. All amounts are in U.S. dollars.

Cancellations and refunds. Direct bookings follow a Moderatecancellation policy: you receive a full refund of the nightly rate and cleaning fee if you cancel at least 5 days before check-in. If you cancel less than 5 days before check-in, you are charged for any nights already spent plus one additional night, plus 50% of the remaining unspent nights, and the cleaning fee is refunded if you have not checked in. In addition, if you booked at least 7 days before check-in, you may cancel within 24 hours of booking for a full refund. Service fees are non-refundable. The cancellation policy shown on each property's listing page at the time of booking governs your reservation, and stays of 30 nights or more are subject to a separate long-stay cancellation policy. Approved refunds are returned to the original payment method; processing times are determined by Stripe and your card issuer.

House rules. Guests must comply with all house rules and check-in/check-out times provided with the booking or at the property. Failure to comply may result in additional fees, forfeiture of payment, early termination of the stay, or other remedies permitted by applicable law.

Property access details. After a booking is confirmed, we may provide sensitive information such as the property address, entry instructions, Wi-Fi credentials, and a digital welcome book. This information is for your use during your stay only. You agree to keep it confidential, not to share it with anyone outside your party, and not to exceed the number of guests or permitted use stated in your reservation.

For questions about a direct booking, contact us at bookings@tierone-capital.com. Disputes relating to a booking made on a third-party platform should first be addressed through that platform.

Messaging. You can message us through the Site about a property or a stay. Messages and replies are provided for general information only and are not binding offers, price quotes, discounts, or confirmations of availability or of a reservation. Only a confirmation issued by our team, with payment captured, creates a binding booking. We may review, respond to, or decline to respond to messages. To continue a conversation without an account, we may email you a private link unique to your conversation; keep it confidential, as anyone with the link can view that conversation.

5. Property Purchase Offers

The "Request an Offer" form and any other submission forms on the Site are provided for the purpose of collecting preliminary information about properties you may wish to sell. Submitting information through these forms constitutes an inquiry only and does not create a binding agreement, contract, or obligation on the part of either party.

Any purchase offer made by Tier One Capital following your inquiry is subject to our review, due diligence, and approval processes. A binding agreement to purchase or sell a property will only exist upon execution of a separate written contract signed by all parties involved. Until such a contract is fully executed, either party is free to withdraw without obligation.

6. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, photographs, page layout, and design, is the property of Tier One Capital LLC or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without our prior written consent. The Tier One Capital name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Tier One Capital LLC. You may not use these marks without our prior written permission.

7. Disclaimer of Warranties

The Site and all information, content, and services provided on or through the Site are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Tier One Capital disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any information obtained through the Site.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Tier One Capital LLC, its members, managers, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to, use of, or inability to use the Site, any content or information obtained from the Site, or any transactions conducted through or facilitated by the Site, regardless of the theory of liability and even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising out of or relating to the use of the Site exceed one hundred dollars ($100.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless Tier One Capital LLC, its members, managers, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Site shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Arlington County, Virginia, and you consent to the personal jurisdiction of such courts.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time at our sole discretion. Changes will be effective immediately upon posting the revised Terms on the Site. The "Effective Date" at the top of this page will be updated accordingly. Your continued use of the Site following the posting of changes constitutes your acceptance of the revised Terms.
